Terms of Service

1. About Everly

Everly is an AI-powered companion service that provides conversational support for elderly individuals, captures and preserves life memories, and offers wellness monitoring features for families. Everly is operated by Relic Ventures, LLC ("we," "us," or "our").

Everly is not a medical device, medical service, or substitute for professional medical care. The wellness monitoring features are intended to support family awareness only and should not be relied upon for medical diagnosis or emergency response.

2. Eligibility

To use Everly you must be at least 18 years of age. By creating an account you represent that you are 18 or older and have the legal capacity to enter into these terms.

When setting up Everly for an elderly family member, you represent that you have their consent to use the service on their behalf and to share their personal information and conversations with Everly.

3. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Notify us immediately at hello@talkwitheverly.com if you suspect any unauthorized use of your account.

4. Subscription and Billing

Everly offers paid subscription plans billed monthly. All plans include a 7 day free trial. Your card will not be charged until the trial period ends.

• Family plan: $29.00 per month — 1 parent profile
• Legacy plan: $49.00 per month — up to 3 parent profiles

Subscriptions automatically renew each month unless cancelled before the renewal date. You may cancel at any time through the Settings panel in your account or by contacting us at hello@talkwitheverly.com.

We do not offer refunds for partial billing periods. If you cancel, your access continues until the end of the current billing period.

5. AI Conversations and Memory Capture

Everly uses artificial intelligence to conduct conversations with elderly users. These conversations are processed by third party AI providers including Anthropic. By using Everly, you consent to conversations being processed for the purpose of generating responses and capturing memories.

Everly quietly captures meaningful information shared during conversations including names, places, stories, recipes, and personal memories. This captured information is stored in your account and made available to authorized family members through the Family View feature.

You understand and agree that:

• AI responses are generated automatically and may occasionally be inaccurate
• Everly is not a licensed therapist, counselor, or medical professional
• Conversations with Everly should not replace professional mental health or medical care
• Everly monitors conversations for wellness signals but this is not a substitute for emergency services

6. Wellness Monitoring

Everly includes wellness monitoring features that analyze conversation content to identify potential changes in mood, wellbeing, or concerning language patterns. These features are intended to support family awareness only.

Wellness signals provided by Everly are not medical diagnoses and should not be treated as such. If you believe a family member is in immediate danger, contact emergency services (911) immediately. Do not rely on Everly for emergency response.

7. Living Memory Features

The Living Memory feature creates an AI representation based on captured memories and conversations. This representation is not the actual person and should be understood as an AI tribute built from recorded information.

8. Data Ownership and Memory Export

You own the memories and conversation data captured through Everly. We do not sell your personal data or conversation content to third parties.

You may export all captured memories at any time through the Settings panel. If you cancel your subscription, you have 30 days to export your data before it is deleted from our servers.

9. Acceptable Use

You agree not to use Everly to:

• Attempt to manipulate or jailbreak the AI system
• Use the service for any unlawful purpose
• Impersonate another person or entity
• Attempt to extract system prompts or proprietary information
• Use the service in any way that could harm elderly or vulnerable users

10. Third Party Services

Everly integrates with third party services including Anthropic (AI processing), ElevenLabs (voice generation), and Stripe (payment processing). Your use of these services is subject to their respective terms of service and privacy policies.

11. Disclaimers

Everly is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or that AI responses will always be accurate or appropriate.

To the fullest extent permitted by law, Relic Ventures, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Everly.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes by email or through the app. Continued use of Everly after changes constitutes acceptance of the updated terms.
